Last Updated: September 20, 2026

These Terms of Service ("Terms") govern your access to and use of the services offered by Wild Reign Studios ("WRS," "we," "us," or "our"), a creative operations studio based in Pueblo, Colorado. By engaging our services, submitting a booking, signing a proposal or contract, or otherwise using our website (the "Site"), you ("Client," "you") agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our services or Site.

________

## 1. Services

Wild Reign Studios provides creative operations and marketing support, including but not limited to:

- Website design and development

- Social media management and content creation

- Graphic design

- Content writing and copywriting

- Administrative and creative operations support

- Retainer-based creative operations packages, offered under tiered service levels (e.g., Trailhead, Basecamp, and Full Reign)

The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate proposal, service agreement, invoice, or statement of work ("Project Agreement"). In the event of a conflict between these Terms and a signed Project Agreement, the Project Agreement will control for that specific engagement.

We reserve the right to modify, add, or discontinue any service offering at any time.

---

## 2. Booking and Project Process

- Projects typically begin after a signed Project Agreement and receipt of any required deposit.

- Timelines are estimates based on the scope discussed and are contingent on timely feedback, content, and materials from the Client.

- Delays caused by the Client (late feedback, missing content, unresponsiveness) may extend project timelines and are not the responsibility of WRS.

- WRS reserves the right to pause or reschedule work if a project stalls due to lack of Client communication for more than 14 days.

---

## 3. Payment Terms

- Pricing for services will be provided in a proposal, invoice, or Project Agreement prior to work beginning.

- A non-refundable deposit may be required to reserve a project slot or begin work, as specified in your Project Agreement.

- Retainer packages are billed on a recurring basis (typically monthly) and are due in advance of the service period unless otherwise agreed in writing.

- Invoices are due upon receipt unless another due date is specified. Late payments may result in paused work, late fees, or termination of services.

- All fees are quoted in U.S. dollars unless otherwise stated.

- Clients are responsible for any third-party costs incurred on their behalf (e.g., stock photography, premium plugins, domain or hosting fees, paid advertising spend) unless such costs are explicitly included in the project fee.

---

## 4. Revisions

- The number of included revision rounds varies by project scope and service tier (Trailhead, Basecamp, or Full Reign) and will be specified in the Project Agreement.

- Requests beyond the included revisions, or requests that materially expand the original scope, may be billed at an additional hourly or flat rate.

- Revision requests should be consolidated and submitted in writing (email or the communication channel designated for the project) to avoid delays.

---

## 5. Intellectual Property and Ownership

- Final deliverables: Upon receipt of payment in full, Client will own the rights to the final approved deliverables created specifically for their project (e.g., final website files, final graphic design files, final written content), except as noted below.

- Portfolio use: WRS retains the right to display completed work, including website designs, graphics, and content, in its portfolio, on social media, and in marketing materials, unless the Client requests confidentiality in writing and WRS agrees to it.

- Pre-existing materials: Any tools, templates, frameworks, code libraries, design systems, or processes developed by WRS prior to or independent of the Client's project remain the sole property of WRS, even if used within the Client's deliverables.

- Third-party assets: Stock photos, fonts, plugins, or licensed materials used in a project remain subject to their original licensing terms and are not owned outright by the Client unless the license explicitly allows for transfer.

- Client-provided materials: Client represents that any content, images, logos, or materials provided to WRS are either owned by the Client or properly licensed for use, and Client agrees to indemnify WRS against any claims arising from Client-provided materials.

---

## 6. Cancellations and Refunds

- Deposits are non-refundable, as they reserve project time and resources.

- If a Client cancels a project after work has begun, Client is responsible for payment for all work completed up to the point of cancellation.

- Retainer clients may cancel ongoing services with written notice as specified in their Project Agreement (typically 30 days). No refunds will be issued for the current billing period.

- WRS reserves the right to terminate a project or retainer relationship at its discretion, with reasonable notice, if the working relationship is no longer viable (e.g., non-payment, abusive communication, scope creep beyond agreed terms).

---

## 7. Client Responsibilities

Client agrees to:

- Provide timely feedback, approvals, and requested materials (copy, images, brand assets, login credentials, etc.)

- Designate a single point of contact for feedback and approvals when applicable

- Ensure all materials provided to WRS do not infringe on third-party rights

- Review deliverables carefully before final approval, as work is considered accepted once approved and additional changes after that point may incur added fees

---

## 8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the engagement (e.g., business strategy, financials, unreleased branding). This obligation survives the completion or termination of the engagement, except where disclosure is required by law.

---

## 9. Limitation of Liability

To the fullest extent permitted by law:

- WRS's total liability for any claim arising from services provided shall not exceed the total amount paid by the Client for the specific project or service giving rise to the claim.

- WRS is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from the use of deliverables or services.

- WRS does not guarantee specific business results, including but not limited to website traffic, social media growth, engagement, leads, or sales, as these depend on factors outside our control.

- WRS is not responsible for third-party platform outages, policy changes, or issues (e.g., social media platform algorithm changes, hosting provider downtime, website builder or plugin malfunctions).

---

## 10. Website and Hosting Disclaimers (if applicable)

- If WRS builds a website on a third-party platform (e.g., Squarespace, WordPress, Shopify), Client is responsible for ongoing hosting fees, domain renewals, and platform subscription costs unless otherwise agreed.

- WRS is not responsible for website downtime, security breaches, or data loss caused by the hosting platform or third-party plugins/integrations.

- Post-launch website maintenance is not included unless specifically purchased as part of a retainer or maintenance package.

---

## 11. Communication

- Primary communication will take place through the channel(s) designated at project kickoff (e.g., email, project management tool).

- WRS aims to respond to Client communications within 1-3 business days during business hours.

- WRS is a part-time, solo-operated studio; response times and availability may vary, particularly outside of standard business hours.

---

## 12. Force Majeure

WRS shall not be held responsible for delays or failure to perform services due to circumstances beyond its reasonable control, including but not limited to natural disasters, illness, internet or technology outages, or other unforeseeable events.

---

## 13. Independent Contractor Relationship

WRS operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, or joint venture relationship between WRS and the Client.

---

## 14. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms or services provided shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in Colorado.

---

## 15. Changes to These Terms

WRS reserves the right to update or modify these Terms at any time. Changes will be posted to this page with an updated "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
